Terms of Service
1. About SensorGuard
SensorGuard (the “Service”) is a software platform for HVAC/BMS diagnostics, fault detection, root cause analysis, and reporting based on customer provided building time series data (for example CSV trend logs) and optional on premises data collection (for example via a BACnet collector).
These Terms of Service (“Terms”) form a binding agreement between you (“Customer”, “you”) and [Your Legal Entity Name], [Country] company number [Number], with registered address [Address] (“Company”, “we”, “us”).
By creating an account, accessing, or using the Service, you agree to these Terms.
2. Eligibility and Account
You must have authority to accept these Terms on behalf of yourself or your organization. You are responsible for maintaining the confidentiality of login credentials and for all activity under your account.
3. Subscription, Billing, and Paddle
Subscriptions are sold and billed by Paddle.com (or its affiliates) acting as Merchant of Record. Paddle will handle payment processing, taxes where applicable, invoicing, and receipts. By purchasing a subscription, you also agree to Paddle’s terms and policies.
Pricing, plan features, and usage limits are described on our website and may change over time as described in Section 11.
4. Plans, Usage Limits, and Fair Use
Your subscription plan may include limits such as number of buildings, sensor pairs, analyses per day, report exports, or other usage thresholds. We may enforce these limits via technical controls. We may also apply fair use limits to protect Service stability and prevent abuse.
5. Customer Data and Inputs
”Customer Data” means data you upload or transmit to the Service, including building metadata, sensor labels, trend logs, and analysis outputs derived from your inputs.
You represent that you have the rights and permissions needed to provide Customer Data to us and to allow us to process it to provide the Service.
You must not upload unlawful content, content that violates third party rights, or content containing sensitive personal data unless you have appropriate lawful basis and safeguards.
6. On Premises Collector
If you use the optional on premises collector, you are responsible for installing and operating it in your environment, maintaining network access, and ensuring compliance with site policies. The collector communicates with the Service using credentials or tokens issued to your account. You must keep these credentials secure.
7. License and Acceptable Use
We grant you a non exclusive, non transferable, revocable license to use the Service during your subscription term for your internal business purposes, subject to these Terms.
You must not:
- reverse engineer, decompile, or attempt to extract source code except where permitted by law
- bypass or interfere with security or usage limits
- use the Service to harm, disable, or overload our systems
- use the Service to develop a competing product
- attempt unauthorized access to accounts, systems, or data
8. Intellectual Property
We and our licensors own all rights in the Service, including software, models, designs, and documentation, excluding Customer Data.
You retain ownership of Customer Data. You grant us a limited license to host, process, transmit, and display Customer Data solely to provide, maintain, and improve the Service, as described in our Privacy Policy.
9. Service Output, Warranties, and Disclaimers
The Service provides automated diagnostics and recommendations. Outputs may be probabilistic and depend on data quality. You are responsible for verifying recommendations and for decisions made based on outputs.
The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, including merchantability, fitness for a particular purpose, and non infringement.
10. Limitation of Liability
To the maximum extent permitted by law:
- We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill.
- Our total liability for any claim related to the Service will not exceed the amount you paid for the Service in the 3 months before the event giving rise to the claim.
- Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
11. Changes to the Service or Terms
We may update the Service, plans, pricing, and these Terms from time to time. If changes materially reduce your rights, we will provide reasonable notice. Continued use after the effective date means you accept the updated Terms.
12. Term and Termination
These Terms start when you first use the Service and continue until terminated.
You may cancel your subscription through Paddle. Cancellation takes effect at the end of the current billing period unless stated otherwise by Paddle.
We may suspend or terminate access if you breach these Terms, misuse the Service, or if required by law. Where feasible, we will provide notice and an opportunity to cure.
13. Data Retention
We retain Customer Data as described in our Privacy Policy. After termination, we may delete Customer Data after 30 days, except where retention is required by law or for legitimate business purposes (for example billing, fraud prevention).
14. Export Control and Sanctions
You agree to comply with applicable export control and sanctions laws and not to use the Service in prohibited jurisdictions or for prohibited end uses.
15. Governing Law and Disputes
These Terms are governed by the laws of [Jurisdiction]. Courts located in [Venue] will have exclusive jurisdiction, unless mandatory law requires otherwise.
